Terms of Service

1. Who we are

"Syodra" ("Syodra", "we", "us", the "Platform") is a digital services platform operated by Robin Bali, VAT / P.IVA 04942290166, with registered address at Via Paderno 13, 24068 Seriate (BG), Italy. You can reach us at qdesystem@gmail.com.

The Platform has two areas: Syodra Studio (services produced directly by the Syodra team) and the Syodra Marketplace (services offered by independent professionals). Different rules apply to each, as set out below.

3. Eligibility & accounts

You must be at least 18 years old, or the age of majority in your country, and legally able to enter into contracts. You are responsible for providing accurate account information, keeping your credentials secure, and for all activity under your account. One person or business may not maintain multiple Seller accounts to circumvent these Terms. We may refuse, suspend or remove accounts at our discretion where these Terms are breached.

4. Our role — an intermediary, not a party

For the Marketplace, Syodra provides a venue that connects Buyers and independent Sellers. The contract for each service is formed directly between the Buyer and the Seller. Syodra is not the provider of those services, is not a party to that contract, and does not control, guarantee or endorse the quality, safety, legality or accuracy of any listing or deliverable. Sellers act as independent contractors, not as employees, agents or partners of Syodra.

Syodra operates on a non-custodial basis: we never hold your funds. Payments are processed by our payment provider (Stripe), which routes 90% of each Marketplace payment to the Seller and 10% to Syodra automatically. Syodra only earns the Platform Fee.

5. Fees, payments & the 72-hour guarantee

Payments are handled by Stripe, subject to Stripe's own terms. To receive payments, Sellers must complete Stripe Connect onboarding. On each Marketplace sale, the Seller receives 90% of the price and Syodra retains a flat 10% Platform Fee. Prices are shown before purchase; applicable taxes may be added or included as indicated at checkout.

Buyer-protection guarantee (72 hours)

To protect Buyers without Syodra holding funds, Seller payouts are set to manual release. After a Buyer accepts a delivery (or after automatic acceptance — see §9), the Seller's payout is released only once a 72-hour guarantee window has passed. During that window, an eligible dispute may result in a refund. Funds settle in the Seller's own payment-provider balance; Syodra does not take custody of them.

6. Sellers' obligations

Professional capacity. By offering services on the Marketplace you declare that you act in a professional or business capacity — not as a private individual making an occasional sale — and that you hold any registration, VAT number or licence your country requires for that activity. Buyers therefore deal with professional sellers throughout, and consumer-protection rules apply to Marketplace orders. If this ceases to be true you must stop selling and tell us.

You are solely responsible for your tax obligations arising from your earnings. Syodra is not your employer and does not withhold or remit taxes on your behalf.

8. On-platform transactions only

All communication, orders and payments must stay on the Platform. You agree not to solicit or arrange payments or deals off-platform (for example via email, Discord, Telegram, PayPal, bank transfer or cryptocurrency arranged privately). This protects both parties (buyer protection, dispute handling, records) and keeps Syodra a neutral intermediary. Sharing contact or payment details to circumvent the Platform may lead to suspension. Our Discord is for community and support only — never for deals or payments.

9. Orders, delivery & acceptance

Once an order is paid, a private order page opens with the brief, timer, chat and delivery tools. The Seller uploads the deliverable and explicitly marks it as delivered. The Buyer then reviews and accepts the delivery to unlock the final files. If the Buyer neither accepts nor opens a dispute within 7 days of delivery, the order is automatically accepted, and the 72-hour guarantee window begins. Before acceptance, Buyers see watermarked previews only.

10. Disputes & refunds

On a paid, delivered or completed order, either party may open a dispute with a reason, which freezes the order. Parties may resolve it voluntarily (a Buyer may withdraw the dispute, releasing funds to the Seller; a Seller may concede, triggering a refund). Otherwise, Syodra support may review the order and either release funds to the Seller or refund the Buyer. Refunds within the guarantee window reverse the corresponding transfer, including the application fee. Once a payout has been released, on-platform refunds may no longer be possible and remedies are between Buyer and Seller. Syodra's dispute decisions are made in good faith but Syodra is not an arbitrator of last resort and does not guarantee any particular outcome.

Source of refunds. For Marketplace orders, refunds are funded from the Seller's proceeds through the on-platform dispute system. Syodra acts as an intermediary and does not refund Marketplace orders out of its own funds. The guarantee window described in section 5 is the period in which an on-platform refund is possible; the dispute system is the intended remedy and should be used before any external route. For Syodra Studio orders, where Syodra is the supplier, Syodra is responsible directly. Nothing here limits your mandatory statutory rights as a consumer.

Payment-provider chargebacks. If you dispute a charge with your bank or card issuer instead of using the dispute system, we will respond to your payment provider with the record of the order — including your brief, the on-platform conversation, delivery timestamps, your acceptance of the delivery and your withdrawal-right acknowledgement. Where a chargeback relates to a Marketplace order, any amount charged back, together with the related fees, is recoverable from the Seller whose order it concerns, and Syodra may offset it against that Seller's current or future balance.

11. Syodra Studio orders

For services in the Studio area, Syodra (its team) is the provider and your contract is with Syodra. Studio orders follow the same order page, brief, chat and delivery flow. The 10% split and external-payout mechanics of the Marketplace do not apply to Studio orders.

12. Intellectual property

The Platform itself — its design, code, branding and content created by Syodra — belongs to Syodra and may not be copied or reused without permission. For deliverables produced through an order, unless a listing states otherwise, ownership or an appropriate licence of the final, accepted deliverable passes to the Buyer upon full payment and acceptance. Sellers grant Syodra a limited licence to display listing and portfolio content for the purpose of operating and promoting the Platform.

13. Consumer rights (EU)

If you are a consumer in the EU, you may have a statutory 14-day right of withdrawal for certain distance contracts. Because our services are commissioned, often personalised digital work begun at your request, this right may not apply, or may be lost, once performance has begun with your prior consent and your acknowledgement that you thereby lose the right of withdrawal. Where the right does apply, nothing in these Terms limits your mandatory statutory rights.

Buyers may review completed orders. Reviews must be honest and based on genuine experience. Fake, incentivised, retaliatory or manipulative reviews are prohibited and may be removed.

16. Disclaimers & limitation of liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Syodra disclaims warranties regarding Marketplace services provided by Sellers and is not liable for the acts, omissions, quality or legality of any Seller or Buyer. To the extent permitted by law, Syodra's aggregate liability arising from a transaction is limited to the amount of the Platform Fee Syodra actually earned on that transaction. Nothing here excludes liability that cannot be excluded by law, including your mandatory consumer rights.

17. Suspension & termination

You may stop using the Platform and close your account at any time. We may suspend or terminate access, remove listings or content, and withhold or reverse transactions where these Terms or the law are breached, or to prevent harm or fraud. Provisions that by their nature should survive termination (e.g. fees owed, IP, liability, governing law) will survive.

18. Privacy

Our handling of personal data is described in our Privacy Policy. By using the Platform you acknowledge that processing. Payments are handled by Stripe under its own privacy terms.

19. Changes to these Terms

We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by notice. Continued use after changes take effect means you accept the updated Terms.

20. Governing law & disputes

These Terms are governed by the laws of Italy, without prejudice to the mandatory consumer-protection rules of your country of residence in the EU. If you are a consumer, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
